These Terms of Service ('Terms') constitute a legally binding agreement between you ('Client,' 'you,' or 'your') and Nobi Media ('Company,' 'we,' 'us,' or 'our') regarding your use of our web design, social media management, and SEO services. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

As our client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Respond to requests for information, feedback, or approvals in a timely manner
- Provide access to necessary accounts, platforms, and systems
- Ensure all content provided is original or properly licensed
- Make payments according to the agreed schedule
- Comply with all applicable laws and regulations
- Maintain confidentiality of login credentials and account information
Payment Schedule
- Payment terms will be specified in individual service agreements
- Invoices are due within 30 days of receipt unless otherwise specified
- Late payments may incur additional fees and service suspension
- All prices are exclusive of applicable taxes
Refund Policy
- Refunds are considered on a case-by-case basis
- Work completed and delivered is generally non-refundable
- Refund requests must be submitted in writing within 30 days
- Third-party costs (hosting, advertising spend, etc.) are non-refundable
Client-Owned Content
You retain ownership of all content, materials, and intellectual property you provide to us. By engaging our services, you grant us a non-exclusive license to use your content for the purpose of delivering our services.
Work Product
Upon full payment, you will own the final deliverables created specifically for your project. However, we retain ownership of our methodologies, processes, and any pre-existing intellectual property used in delivering our services.
Portfolio Rights
We reserve the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing. We will respect any confidentiality requirements you specify.
Project Timelines
- Project timelines will be specified in individual service agreements
- Timelines may be adjusted due to scope changes or client delays
- We will communicate any potential delays promptly
Communication
- We will respond to client inquiries within 2 business days
- Regular project updates will be provided as agreed
- Emergency support availability may vary by service level
Important Legal Notice
To the maximum extent permitted by law, Nobi Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption or downtime
- Third-party claims or damages
Our total liability for any claim shall not exceed the amount paid by you for the specific service giving rise to the claim.
Termination by Client
- You may terminate services with 30 days written notice
- Payment is due for all work completed up to termination date
- Ongoing monthly services require 30 days notice to avoid next billing cycle
Termination by Nobi Media
- We may terminate services for non-payment or breach of terms
- We reserve the right to refuse service to any client
- 30 days notice will be provided when possible
We understand that you may share confidential information with us during the course of our engagement. We agree to:
- Maintain the confidentiality of your proprietary information
- Use confidential information solely for providing our services
- Not disclose confidential information to third parties without consent
- Return or destroy confidential information upon request
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, internet outages, or other unforeseeable events.
Informal Resolution
We encourage resolving disputes through direct communication. Please contact us first to discuss any concerns or issues.
Formal Dispute Resolution
If informal resolution is unsuccessful, disputes will be resolved through binding arbitration or mediation as agreed upon by both parties, following the laws of Canada.
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to active clients with at least 30 days notice. Continued use of our services after changes take effect constitutes acceptance of the modified terms.
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.
These Terms of Service, together with any signed service agreements and our Privacy Policy, constitute the entire agreement between you and Nobi Media. These terms supersede all prior negotiations, representations, or agreements relating to the subject matter.
